Digital IMALAG — Call Center CRM Software

By accessing or using the Digital IMALAG CRM software, you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions. If you do not agree, you must not access or use the software.

1. Acceptance of Terms
By installing, accessing, or using the Digital IMALAG Call Center CRM software (hereinafter referred to as “the Software”), you agree to be legally bound by these Terms & Conditions. These terms govern your use of the Software and all associated services, including cloud-hosted and on-premise deployments.
If you are accepting these terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you do not agree to any part of these terms, you must cease using the Software immediately.
Digital IMALAG reserves the right to update or modify these terms at any time without prior notice. Continued use of the Software after any changes constitutes acceptance of the new terms. It is your responsibility to review these terms periodically.
2. Ownership & Copyright
The CRM software, including but not limited to its source code, UI/UX design, database structure, APIs, documentation, designs, workflows, system architecture, business logic, visual components, and all associated intellectual property, is the sole and exclusive property of Digital IMALAG.
The client receives only a limited usage license unless otherwise agreed in writing. Ownership of the software is never transferred to the client. All rights not expressly granted are reserved by Digital IMALAG. The Software is licensed, not sold.
3. Software License
Subject to your compliance with these Terms & Conditions, Digital IMALAG grants you a non-exclusive, non-transferable, revocable license to use the Software for your internal business operations. This license is limited to the number of users and scope defined in your subscription plan.
You may not sublicense, rent, lease, or lend the Software to any third party. The license is effective until terminated. Upon termination of your subscription or these terms, you must cease all use of the Software and destroy all copies in your possession.
4. Unauthorized Copying & Distribution
Copying, reproducing, distributing, modifying, reselling, sublicensing, sharing, or redistributing the Software or any portion thereof without prior written permission from Digital IMALAG is strictly prohibited.
Uploading any part of the source code to public repositories including GitHub, GitLab, Bitbucket, forums, or third-party platforms without authorization is prohibited. Unauthorized sharing of the software source code or deployment package shall constitute copyright infringement.
- Reselling, sublicensing, or renting the Software to any third party.
- Redistributing the source code, compiled binaries, or any part thereof.
- Copying, replicating, or cloning any module, feature, or component.
- Sharing proprietary code, algorithms, or business logic with competitors.
- Creating derivative products, forks, or competing solutions based on the Software.
- Removing, altering, or obscuring copyright or trademark notices.
- Using the Software to provide SaaS services to third parties.
5. Reverse Engineering Restriction
Reverse engineering, decompiling, disassembling, cloning, or attempting to recreate the Software is strictly prohibited. You may not attempt to derive the source code, underlying algorithms, or data structures of the Software through any means.
This restriction applies to all components of the Software, including but not limited to the frontend application, backend services, database schemas, API endpoints, and any binary or compiled distributions.
6. Third-Party Access
The client shall not provide access to source code, deployment files, database credentials, or administrative access to any third party without prior written consent from Digital IMALAG.
This includes but is not limited to: sharing login credentials, providing database connection strings, granting server access, or sharing administrative panel access with external consultants, contractors, or partners without explicit authorization.
7. License Violation
Any violation of licensing terms may result in immediate termination of software access. Digital IMALAG reserves the right to pursue legal action, seek damages, and recover unpaid licensing fees from any party found to be in violation of these terms.
Digital IMALAG reserves the right to charge licensing fees, legal fees, and damages for unauthorized copying, distribution, or commercial use. Violators may be subject to civil and criminal penalties under applicable law.
8. User Responsibilities
As a user of the Software, you agree to:
- Provide accurate and complete information when registering for an account.
- Maintain the confidentiality of your login credentials and not share them with unauthorized individuals.
- Use the Software in compliance with all applicable laws and regulations.
- Not use the Software for any unlawful, fraudulent, or abusive purpose.
- Ensure that your staff and authorized users comply with these terms.
- Notify Digital IMALAG immediately of any unauthorized use or security breach.
9. Database Hosting Responsibilities
If you elect to use cloud-hosted infrastructure, the following terms apply:
- Digital IMALAG provides the software interface and application layer. The underlying cloud infrastructure, database hosting, and third-party services are managed by the client or contracted by the client through third-party providers.
- The client is solely responsible for ensuring timely renewal of servers, hosting, database subscriptions, domain registrations, and storage services.
- Failure to renew services resulting in downtime or data loss shall be the client's sole responsibility.
- Digital IMALAG is not responsible for service interruptions, data loss, or performance issues caused by expired subscriptions, provider outages, or misconfigured services.
10. Local Server Responsibilities
If the client chooses on-premise, offline, or local server deployment, the client is fully responsible for all aspects of the server infrastructure:
Recommendation: Digital IMALAG strongly recommends using RAID-enabled server infrastructure for local deployments to ensure data redundancy and minimize the risk of data loss due to hardware failure.
11. Backup Responsibilities
Clients must regularly maintain backups of all business data stored within the Software, including customer information, call logs, complaint records, follow-up data, and any other data.
- Backups should be performed at least daily for production environments.
- Backup copies must be stored in a separate physical location or secure cloud storage.
- Clients should periodically test backup restoration procedures to ensure data integrity.
- Digital IMALAG does not provide automated backup services unless explicitly included in a separate written agreement.
Digital IMALAG is not liable for loss of data caused by hardware failure, hosting expiration, accidental deletion, cyberattacks, natural disasters, or user negligence.

Digital IMALAG shall not be held responsible for any direct or indirect loss of data, business interruption, financial loss, or operational disruption caused by:
13. Security Responsibilities
Clients must keep all login credentials, passwords, API keys, and access tokens secure and confidential. You are responsible for all activities that occur under your account.
You must immediately report any unauthorized access, security breach, or suspected compromise of your account to Digital IMALAG. Failure to do so may result in data loss or unauthorized use of the Software, for which Digital IMALAG shall not be liable.
14. Support & Maintenance
Digital IMALAG provides technical support and software maintenance in accordance with the support plan selected during subscription. Support hours are Monday through Friday, 9:00 AM to 6:00 PM IST, excluding public holidays.
- Support is provided via email, phone, or remote assistance.
- Support is limited to software functionality and configuration assistance.
- Infrastructure, networking, and hardware issues are the client's responsibility.
- Digital IMALAG reserves the right to charge additional fees for out-of-scope support requests, customizations, or emergency services.
15. Software Updates
Digital IMALAG reserves the right to release updates, patches, bug fixes, security improvements, and feature enhancements at its sole discretion. Updates may be released periodically and may be required for continued operation of the Software.
Software updates and patches are provided as part of active subscription plans. Digital IMALAG shall not be liable for any issues arising from failure to install updates or from using outdated versions of the Software.
16. Payment & Licensing
Continued usage of the Software requires a valid license and timely payment of all applicable subscription fees. Subscription fees are billed in advance on a monthly or annual basis as agreed upon during registration.
All fees are non-refundable except as expressly stated in writing. Digital IMALAG reserves the right to modify subscription fees with 30 days' written notice. Continued use after the fee change constitutes acceptance of the new pricing.
17. Suspension Rights
Digital IMALAG reserves the right to suspend or restrict access to the Software immediately, without prior notice, in cases including but not limited to:
- Non-payment of subscription fees beyond the grace period.
- Abuse of the Software or its resources.
- License violations, including unauthorized copying or distribution.
- Use of the Software for illegal or fraudulent activities.
- Security threats or attacks originating from the client's account.
Digital IMALAG shall not be liable for any damages or losses arising from such suspension. Access may be restored once the underlying issue is resolved.
18. Limitation of Liability
To the maximum extent permitted by applicable law, Digital IMALAG and its officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
- Loss of profits, revenue, or business opportunities.
- Loss of data, databases, or digital information.
- Business interruption or service downtime.
- Cost of procurement of substitute services.
- Damages arising from third-party claims.
In no event shall Digital IMALAG's total liability exceed the total amount paid by you for the Software during the twelve (12) months immediately preceding the event giving rise to the claim. This limitation applies regardless of the theory of liability, whether in contract, tort, or otherwise.
19. Termination
Digital IMALAG may terminate or suspend your access to the Software immediately, without prior notice or liability, if you breach any provision of these Terms & Conditions.
Upon termination, your license to use the Software ceases immediately. You must discontinue all use and delete all copies of the Software in your possession. Sections 2 through 18 shall survive termination.
20. Governing Law
These Terms & Conditions shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or relating to these terms or the Software shall be subject to the exclusive jurisdiction of the courts in Indore, Madhya Pradesh, India.
The parties agree to attempt to resolve any dispute through good-faith negotiations before resorting to legal action. If a dispute cannot be resolved within 30 days, either party may seek legal remedies as provided by law.
